Please read the following terms and conditions very carefully. Your
access to and use of this website (the "Website") is subject exclusively and
strictly to these Terms and Conditions. By accessing the Security Protected
Area (see definition below) of this Website you agree to be bound by the
following terms and conditions. Do not access the Security Protected Area of
this Website unless you have read the following terms and conditions and agree
to be so bound.
1. Parties
1.1 These Terms and Conditions cover the supply of the Services by Jonathan R.
Hill Limited of 6 The Meadows, Walberton, Arundel, West Sussex BN18 0PB
("Us"/"We"/"Our") to you as the customer and/or user of the Services
("You"/"Your").
2. Definitions
2.1 Unless the context otherwise requires:
2.1.1 “Security Protected Area” means every section of this Website with the
exception of the following named sections (name of section is at top in large
text): Login, Terms And Conditions,
Privacy Policy, Features,
Prices And Payment, Contact Us;
2.1.2 "User" means You, when You access the Security Protected Area;
2.1.3 “Registered User” means You where You have submitted registration
information to this Website or have had registration information submitted to
this Website on your behalf by another User;
2.1.4 "Online Club" is a collection of Registered Users related by their
membership of the same sports club (every Registered User is included in an
Online Club);
2.1.5 “Privileged User” is a Registered User with administrative control of an
Online Club (every Online Club has at least one Privileged User);
2.1.6 “Internet Service Provider” means the party with whom You have a contract
to use the internet.
2.2 Unless otherwise specified, words importing the singular include the
plural, words importing any gender include every gender and words importing
persons include bodies corporate and unincorporated; and (in each case) vice
versa.
3. Responsibilities
3.1. Where You are a User, You:
3.1.1 have full written consent and permission from any individual or legal
guardian of any individual, to enter registration information about the said
individual into the Security Protected Area, where the said individual is other
than Yourself.
3.1.1.1 Where the registration information contains email addresses other than
those owned by the said individual, You confirm the owners of these said email
addresses have consented to the reception of emails from Us.
3.1.2 make and agree to the warranties set out in Clause 6 below.
3.2 Where You are a Registered User, emails will be sent to the email addresses
provided to Us as part of Your registration information.
3.2.1 As a Registered User, You agree to receive such emails.
3.2.2 Where Your registration information contains email addresses other than
Your own, You confirm the owners of these said email addresses have consented
to the reception of emails from Us.
4. Prices and Payments
4.1 We reserve the right to charge Your Online Club for the use of the Security
Protected Area. The details of these charges will be notified to the Privileged
User of Your Online Club at such time. (see Prices
And Payments)
5. Intellectual Property Rights
5.1 The Service and Website are only intended for Your own personal use only.
5.2 You may not publish, copy, re-distribute or otherwise exploit (commercially
or otherwise) any material or data received by way of the Services or contained
in the Website, with the exception of data solely relating to Your Online
Club.
5.3 The reproduction, copying, downloading, storage, recording, broadcasting,
retransmission and distribution of the material, or any part of the material
contained on the Website is not permitted without Our prior written consent,
with the exception of data solely relating to Your Online Club.
5.4 You may not use Our name, trade marks or logo in any manner without Our
prior written consent.
6. Your Warranties
6.1 You warrant that You:
6.1.1 will not damage, interfere with or disrupt access to the Website or do
anything which may interrupt or impair its functionality;
6.1.2 will use the information contained in the Website only in accordance with
these Terms and Conditions of Use and only for lawful purposes and in a lawful
manner; and
6.1.3 all information that You provide to Us is true, accurate, current and
complete in all respects.
6.2 You agree to fully indemnify and keep Us indemnified against all claims,
liability, damages, losses costs and expenses, arising out of any breach of
these Terms and Conditions by You or other liabilities arising out of Your use
of the Website.
7. Limitation of Liability
7.1 We take all reasonable efforts to ensure that the information and material
contained in the Security Protected Area is as accurate as possible. However,
the information contained in the Security Protected Area is provided, updated
by and maintained by either You or other Users in Your Online Club and is not
under Our control. We do not therefore make any warranty as to the accuracy and
completeness of the information provided in the Security Protected Area.
7.2 Notwithstanding Clause 7.1 above, we provide the Website on an "as is" and
"as available" basis without giving any warranty in relation to the Security
Protected Area including (but not limited to) implied warranties of
non-infringement, security, accuracy or any implied warranty arising from
course of dealing or usage or trade.
7.3 You recognise that the availability of the Website may from time to time be
affected by network availability of Your Internet Service Provider and the
operational uptime of Our third party hosting network and computer and/or any
other event outside Our control.
8. Term and Termination
8.1 These Terms and Conditions commence from the moment that You first access
the Security Protected Area and remain in force until such time as You or We or
another Privileged User associated with Your Online Club terminate your access
to the Security Protected Area in accordance with this Clause 8.
8.1.1 Termination of access either by Us or You or another Privileged User
associated with Your Online Club includes the irreversible removal of all
registration information associated with Your access to the Security Protected
Area.
8.2 You may terminate Your access to the Security Protected Area at any time.
You may do so as follows by:
8.2.1 sending an email including Your access details to
unregisterfootballadmin@jrhill.com or
8.2.2 writing to the address given at Clause 1.1 above including Your access
details or
8.3 A Privileged User associated with Your Online Club may terminate Your
access to the Security Protected Area at any time without notice.
8.4 We may suspend or terminate Your access to the Security Protected Area
immediately and without notice where:
8.4.1 We consider that You or any other User associated with Your Online Club
or Your Online Club may be in breach of these Terms and Conditions;
8.4.2 We, in our sole discretion consider that Your use of the Website is
excessive, have sent you notification requesting that you reduce Your use of
the Website and You nonetheless continue such excessive use.
8.5 Without prejudice to Clause 8.4, We shall be entitled to terminate Your
access to the Security Protected Area on 3 (three) days notice to You. This
notice being given via email, using the email address associated with Your
access to the Security Protected Area.
9. Data Protection
9.1 Any personal data about You that We may collect from You or from another
User on Your behalf is processed and used by Us or Our agents for the sole
purpose of providing the services of this Website.
9.2 Your personal data will not be used for the sending of any marketing
material by Us or on behalf of other companies.

10. Jurisdiction and Choice of Law
These Terms and Conditions are governed by the law of England and Wales and You
and We agree to submit to the exclusive jurisdiction of the courts of England
and Wales in the event of a dispute.
